DPIIT Startup India Recognition: What It Is and What It Actually Gets You

Most founders confuse three separate things: company registration, GST registration, and DPIIT Startup India recognition. Incorporating a Private Limited Company or LLP makes your business legally exist. GST registration makes you tax-compliant. Neither one, on its own, gets you a rupee of tax exemption, government-backed funding, or IPR fee rebates. DPIIT recognition is the separate, additional step that actually unlocks those benefits — and a surprising number of eligible founders never apply for it, simply because nobody explained clearly what it does.

What DPIIT Recognition Actually Is

DPIIT stands for the Department for Promotion of Industry and Internal Trade, a department under India's Ministry of Commerce and Industry. Startup India, the flagship government initiative launched on 16 January 2016, is the broader programme; DPIIT recognition is the specific certificate issued under it that officially classifies your already-incorporated business as a "recognised startup."

That certificate is what activates eligibility for tax holidays, funding schemes, compliance relaxations, and IPR fee rebates. Without it, an entity can be registered on the Startup India portal and still not qualify for the actual statutory benefits — recognition is the gate all of them sit behind.

Who Is Eligible: The 2026 Framework

The current eligibility rules were notified through Gazette Notification G.S.R. 108(E), dated 4 February 2026, replacing the earlier 2019 framework. Every condition below is mandatory — missing even one disqualifies the application.

Entity type

Private Limited Company, LLP, registered Partnership Firm, Cooperative Society, or Multi-State Cooperative Society. Sole proprietorships are not eligible under any circumstance.

Age

Not more than 10 years from the date of incorporation or registration. Deep Tech startups (defined below) get an extended 20-year window.

Turnover

Annual turnover must stay below ₹200 crore in any financial year since incorporation. Deep Tech startups get a higher ₹300 crore threshold.

Not formed by reconstruction

The entity must not be formed by splitting up or reconstructing an already-existing business — a genuine new entity, not a rebrand of an old one.

Innovation or scalability

The entity must be working towards innovation, development or improvement of products, processes or services, or have a scalable business model with high potential for employment generation or wealth creation. This is a real, actively applied test, not a formality.

The Deep Tech category is new in the 2026 framework. Startups working on advanced technologies — semiconductors, biotechnology, AI infrastructure, space technology — may qualify for a 20-year recognition window and the ₹300 crore turnover cap, but need to demonstrate meaningful R&D intensity, genuine intellectual property creation, and a clear commercialisation plan, not just a claim to be "deep tech."

The Full List of Benefits

1. Section 80-IAC — three-year income tax holiday

DPIIT-recognised Private Limited Companies and LLPs incorporated on or after 1 April 2016 can apply for a 100% income tax deduction on profits for 3 consecutive years out of their first 10 years. This is not automatic — it requires a separate application to the Inter-Ministerial Board (IMB), and DPIIT recognition is the mandatory prerequisite for the IMB to even consider the application.

2. Angel tax exemption

DPIIT-recognised startups are exempt from angel tax under Section 56(2)(viib) on share premium received from Indian resident investors, automatically, once recognised. This exemption applies to Indian resident investors; shares issued to non-residents still fall under standard FEMA compliance requirements.

3. Self-certification under labour and environmental laws

Recognised startups can self-certify compliance under a defined set of labour and environmental laws instead of facing routine inspections, reducing the compliance burden materially in the early years.

4. IPR fee rebates and fast-tracking

An 80% rebate on patent filing fees with fast-tracked examination, and a 50% rebate on trademark filing fees — a real, quantifiable saving for any startup building IP early.

5. Startup India Seed Fund Scheme (SISFS)

Up to ₹20 lakh as a milestone-linked grant for proof of concept, and up to ₹50 lakh as debt or convertible debentures for market entry and scaling. Applicants must be DPIIT-recognised and incorporated not more than two years before applying — this window closes fast, so it is worth checking eligibility early rather than late. See our dedicated guide to claiming this grant for the full application process, documents, and current window status.

6. Credit Guarantee Scheme for Startups

Collateral-free lending with guarantee cover of up to ₹20 crore per borrower, making bank credit accessible without the personal collateral early-stage founders often do not have.

7. Startup India Fund of Funds 2.0

A ₹10,000 crore corpus approved by the Union Cabinet on 14 February 2026, directed at deep tech and technology-driven manufacturing. This is a fund-of-funds structure — it invests into venture capital funds, which then invest into startups, so the access is indirect but genuinely significant at the ecosystem level.

8. Public procurement access

Recognised startups can register as sellers on the Government e-Marketplace (GeM) and are exempt from Earnest Money Deposit (EMD) requirements in government tenders — a real advantage when competing for government contracts against larger, established vendors.

9. Resource partner benefits

DPIIT recognition is also the eligibility key for a number of third-party resource-partner offers listed on the Startup India portal — software credits, discounted services, and partner programmes from companies that specifically support recognised startups. Zoho's own startup credit programme, covered in a separate detailed post, is a direct example worth up to ₹1.86 lakh in Zoho Wallet credits.

How Long Does Recognition Last

Recognition is not indefinite. It is tied directly to the age and turnover limits above — once a startup crosses 10 years from incorporation (20 for Deep Tech) or exceeds the turnover cap, it no longer qualifies as a recognised startup, regardless of how the business is performing. Some benefits, like the 80-IAC three-year window, are meant to be used within that recognition period, not indefinitely deferred.

What Recognition Does Not Do

  • It does not replace GST, PF, ESI or other statutory registrations. DPIIT recognition sits alongside these, not instead of them.
  • It does not automatically grant the 80-IAC tax holiday. That needs its own separate application and IMB approval, as covered above.
  • It does not guarantee funding. Seed Fund, Credit Guarantee, and Fund of Funds access are eligibility pathways, not automatic disbursements — each has its own application and evaluation process.

Frequently Asked Questions

Is DPIIT recognition the same as company registration?+
No. Company registration (incorporating as a Pvt Ltd, LLP or Partnership) makes your business legally exist. DPIIT recognition is a separate, additional government certificate that identifies your already-incorporated business as an eligible startup, unlocking tax, funding and compliance benefits that incorporation alone does not provide.
Are sole proprietorships eligible for DPIIT recognition?+
No. Only Private Limited Companies, LLPs, registered Partnership Firms, Cooperative Societies and Multi-State Cooperative Societies are eligible under the current framework. Sole proprietorships cannot apply.
What is the turnover limit for DPIIT recognition?+
Annual turnover must stay below ₹200 crore in any financial year since incorporation, under the framework notified via G.S.R. 108(E) in February 2026. Deep Tech startups get a higher ₹300 crore threshold.
Does DPIIT recognition automatically give a 3-year tax holiday?+
No. DPIIT recognition is a mandatory prerequisite, but the Section 80-IAC income tax exemption requires a separate application to the Inter-Ministerial Board (IMB). Recognition alone does not activate the tax holiday automatically.
How long is DPIIT recognition valid for?+
Up to 10 years from the date of incorporation for most entities, or up to 20 years for startups qualifying under the Deep Tech category. Recognition is not indefinite — it is tied to the age and turnover limits.
